Mr. Gesell is a shareholder with Blake, Kirchner, Symonds, Larson, Kennedy & Smith, P.C. His practice is concentrated in business and corporation law, mergers and acquisitions, real estate, finance and estate planning.

Mr. Gesell represents individuals, corporations and other entities in a variety of businesses and industries including construction, data processing, design and engineering, fabricating and manufacturing, real estate development and transportation. He has served as a member of the Board of Directors for many of such companies and counsels owners and executives in connection with diverse business transactions and personal estate planning.

Representative matters in which Mr. Gesell has participated include:

• Represented a developer in connection with the creation and funding of a real estate limited partnership and successfully completed the acquisition of a 110-acre parcel of land on the north coast of the Dominican Republic for development as a resort community.
• Assisted the shareholders of a privately-held bank to restructure as a one-bank holding company and facilitate the sale of the bank to a national banking corporation.
• Represented a national data processing company in a general counsel capacity. Successfully implemented a substantial recapitalization, including investment participation by several key credit union customers. Assisted in the location, structuring and ultimate sale to a publicly-held company.
• Represented an investment group in negotiations to obtain management control and ultimate acquisition of a $500 million transportation company.
• Drafted and negotiated numerous license and research agreements on behalf of a medical device manufacturer working with various research hospitals and pharmaceutical companies.
